The deadline to file your Beneficial Ownership Information (BOI) Report is rapidly approaching.
Under the Corporate Transparency Act (CTA), and unless your company qualifies for one of the limited exceptions, companies created or registered to do business in 2024 in the United States have 90 days from their creation/registration date to file BOI reports, while the deadline for companies created before 2024 is January 1, 2025. Companies founded or registered on or after January. 1, 2025, must submit a BOI report within 30 calendar days of registration. Companies must file updated or corrected BOI reports within 30 days of any modifications or updates to their company information or beneficial owners.
Failure to comply may lead to civil penalties of $500 per day of non-compliance and criminal penalties of up to $10,000 in fines and/or up to two years in jail.
